The Terms and Conditions for the use of Tokocrypto OTC / Over The Counter (“OTC”) (hereinafter referred to as the “Terms and Conditions”) constitute an agreement between you (“You” or the “Customer”) and PT Aset Digital Berkat (“Tokocrypto” or “We/Us”), governing how you use the products, services, technology, and service features provided by Tokocrypto, including but not limited to the OTC feature made available by Tokocrypto (hereinafter referred to as “Tokocrypto OTC”), insofar as such matters are not specifically regulated in the Tokocrypto OTC registration section. The Tokocrypto OTC Account registration, created on the date specified in the OTC Account registration section, forms an integral and inseparable part of, and constitutes your consent to, these Terms and Conditions.
By accessing and/or using Tokocrypto OTC, you represent that you have READ, UNDERSTOOD, ACCEPTED, AND AGREED to all of the terms and conditions contained in these Terms and Conditions, together with any additional documents or terms referenced herein. You acknowledge and agree that you will be bound by and will comply with these Terms and Conditions, as may be updated and amended from time to time.
GENERAL PROVISIONS
By accessing and/or using Tokocrypto OTC, you understand, acknowledge, and agree that you accept the risk of loss associated with a decrease or loss in the value of your digital crypto assets. As is generally the case, the value of digital crypto assets may fluctuate substantially, and you may incur losses in connection with transactions conducted through Tokocrypto OTC, including losses in the total value of digital crypto assets you hold after completing OTC transactions.
To use Tokocrypto OTC, you must:
(i) be registered and verified as a Customer of the Tokocrypto application; and
(ii) at all times comply with these Terms and Conditions, the customer agreement, and the privacy policy available on the Tokocrypto application or website (the “Tokocrypto Customer Agreement and Privacy Policy”).
You acknowledge and agree that if at any time you fail to comply with these Terms and Conditions and/or the Tokocrypto Customer Agreement and Privacy Policy, or if Tokocrypto suspects or determines that you are involved in fraudulent activity that may harm other Customers, Tokocrypto, or any third party, then Tokocrypto may, at its sole and non-contestable discretion, take any actions it deems necessary, including but not limited to: withholding any benefits or income, seeking compensation, temporarily suspending access, terminating access, restricting access, deleting your account, and prohibiting you from using Tokocrypto services in any form.
Tokocrypto may amend part or all of the provisions in these Terms and Conditions by providing notice through the Tokocrypto application or website, or by any other method determined by Tokocrypto. Such amendments will take effect on the date specified by Tokocrypto. If you continue to use Tokocrypto OTC after that date, you will be deemed to have accepted the changes. If you do not agree with the amended Terms and Conditions, you must cease accessing and/or using Tokocrypto OTC. You are strongly advised to review these Terms and Conditions periodically on the Tokocrypto application or website.
These Terms and Conditions form a single, integral, and inseparable part of the Tokocrypto Customer Agreement and the Tokocrypto Privacy Policy. Therefore, please ensure that you have read and stay informed of any updates to the Tokocrypto Customer Agreement and Privacy Policy.
DEFINITIONS
Unless the context requires otherwise, the terms below have the following meanings:
Tokocrypto Site
The official site owned and operated by Tokocrypto, accessible via www.tokocrypto.com and/or the official Tokocrypto mobile application, used as a platform for Customers to access services, features, information, and to conduct crypto asset trading activities, including Tokocrypto OTC services.
Tokocrypto OTC
A service or feature provided by Tokocrypto to Customers who meet the requirements set out in these Terms and Conditions, whereby Customers may conduct OTC transactions with higher transaction limits than regular Crypto Asset buy/sell transactions, as further regulated in these Terms and Conditions.
Tokocrypto
A company established under the laws of Indonesia, registered and approved as a digital financial asset trader providing a platform for crypto asset trading in Indonesia.
Crypto Asset Trading Activity
The activity of buying and selling Crypto Assets based on the terms agreed by the Customer through Tokocrypto OTC.
Tokocrypto Account
An account or access provided to the Customer to carry out Crypto Asset Trading Activities, including the use of Tokocrypto OTC.
Crypto Assets
Digital commodities using cryptography, information technology networks, and distributed ledgers to regulate the creation of new units, verify transactions, and secure transactions without third-party interference, which are traded on the Tokocrypto Site.
Funds
Money deposited in Indonesian Rupiah via interbank transfer for the purpose of carrying out OTC Transactions.
Wallet
A medium used to store Funds or Crypto Assets (coins or tokens) on the Tokocrypto Platform for the use of Tokocrypto OTC.
Deposit
The placement of Funds into the Tokocrypto Platform or Tokocrypto Account for the purpose of conducting OTC Transactions.
Privacy Policy
The policy governing how Tokocrypto collects, uses, maintains, and discloses information collected from Customers through the Tokocrypto Site.
Customer or You
An individual who owns a Tokocrypto Account that has been registered and verified on the Tokocrypto Site and is therefore authorized to engage in Crypto Asset Trading Activities, including but not limited to transactions via Tokocrypto OTC.
OTC Client
An individual, business entity, or legal entity that has registered on the Tokocrypto OTC platform and is therefore authorized by Tokocrypto to carry out OTC activities.
OTC Communication Channel
The communication channel provided or established by Tokocrypto for each OTC Client using Tokocrypto OTC, relating to the execution of the OTC transaction process, from confirmation of the Order Form to notification of transaction details, including pricing and other communications until the OTC transaction has been successfully completed. Such channel may be via Telegram or any other medium determined by Tokocrypto.
Order Confirmation
The statement of acceptance from the OTC Client regarding the price, quantity, type of Crypto Asset, and transaction terms offered by Tokocrypto through the OTC Communication Channel. This confirmation forms the valid basis for executing the OTC transaction between the OTC Client and Tokocrypto and is deemed to constitute a final and binding agreement between the parties.
REGISTRATION OF TOKOCRYPTO OTC ACCOUNT
General Requirements
To use Tokocrypto OTC services, you must be registered as a Customer and hold a Tokocrypto Account subject to the following conditions:
If You Are a Business Entity or Legal Entity:
Hold valid business licenses issued by the relevant ministry/authority;
Have a registered office/domicile within the territory of the Republic of Indonesia;
Declare that transactions are solely for investment purposes and not for payment or asset transfer purposes;
Complete registration through the Tokocrypto Site;
Hold a verified KYB (Know Your Business) status account on Tokocrypto;
Ensure that all transactions are carried out exclusively by the authorized representative(s) listed in the KYB documents submitted to Tokocrypto; transactions on behalf of any other party outside this scope are not permitted; and
Agree to and comply with these Tokocrypto OTC Terms and Conditions, the Tokocrypto Customer Agreement, and the Privacy Policy.
If You Are an Individual:
Be at least 17 (seventeen) years old;
Hold a National Identity Card (KTP) for Indonesian citizens, or a passport issued by the user’s country of origin and/or a Permanent Stay Permit Card (KITAP) or Limited Stay Permit Card (KITAS) for foreign nationals;
Use your own Funds or Crypto Assets, and not Funds or Crypto Assets belonging to or originating from other persons, or derived from criminal acts, money laundering, terrorism financing, and/or proliferation of weapons of mass destruction;
Complete registration through the Tokocrypto Site;
Hold a verified KYC Level 2 account on Tokocrypto;
Ensure that all transactions are carried out solely by the Customer or account owner, and that all OTC transactions are conducted exclusively by that individual; transactions on behalf of any other party outside this scope are not permitted; and
Agree to and comply with these Tokocrypto OTC Terms and Conditions, the Tokocrypto Customer Agreement, and the Privacy Policy.
The Client hereby agrees that the process of becoming a Tokocrypto OTC Client is only effective once all Tokocrypto OTC requirements have been fulfilled by the Client and the registration process has passed verification and been approved by Tokocrypto. Any risks arising from the closure, blocking, or freezing of OTC services due to errors and/or negligence on the part of the Tokocrypto OTC Client shall be the sole responsibility of the Tokocrypto OTC Client, and Tokocrypto OTC will not provide any compensation to the Client or any party in any form for any claims, demands, or losses related to the closure of the Client’s OTC services.
Tokocrypto OTC enables you to buy or sell Crypto Assets on the Tokocrypto platform in large amounts, outside the normal retail buy and sell process carried out by non-OTC Tokocrypto Customers.
All data, information, documents, statements, and/or other information obtained by Tokocrypto OTC in relation to the Tokocrypto OTC Client (“Client Data”) are the exclusive property of Tokocrypto OTC. Tokocrypto OTC has the right to verify, match, assess, maintain the confidentiality of, and/or use such Client Data for the purposes of Tokocrypto OTC, insofar as it is in accordance with applicable laws and regulations.
Tokocrypto OTC is under no obligation to notify, seek consent from, provide assurances to, or compensate the Tokocrypto OTC Client in any form regarding the use, management, and/or processing of Client Data by Tokocrypto OTC.
SCOPE OF OTC TRADING ACTIVITIES
The scope of Tokocrypto OTC trading activities includes:
Purchasing Crypto Assets using Indonesian Rupiah;
Selling Crypto Assets for Indonesian Rupiah;
Making deposits in Indonesian Rupiah; and
Withdrawing funds in Indonesian Rupiah.
TOKOCRYPTO OTC TRANSACTION PROCEDURES
You may access and use Tokocrypto OTC by first logging into your Tokocrypto Account using the email address and password verified by Tokocrypto during registration. The Tokocrypto system will automatically deny access to the Tokocrypto Account if the email or password is incorrect. You are responsible for maintaining the confidentiality of your password, Tokocrypto Account, PIN, Wallet access, email login access, and all activities within your Tokocrypto Account. You are fully responsible for the use of your password and Tokocrypto Account.
If your password and/or Tokocrypto Account is used without your authorization or if you suspect any other breach, you must immediately contact Tokocrypto by sending an email to otcrequest@tokocrypto.com along with supporting information. Tokocrypto is not responsible for any losses arising from the misuse of your Tokocrypto Account and/or password, with or without your knowledge, when using Tokocrypto OTC services.
An OTC Client may initiate a Tokocrypto OTC service request by completing an OTC order application form (“Order Form”) via the designated OTC landing page accessible at:
https://www.tokocrypto.com/en/landing/otc
The Order Form to be completed by the OTC Client will include information such as the OTC Client’s name, mobile number, customer UID, and other relevant information.
The OTC Client’s Order Form will be received and reviewed by Tokocrypto to verify the completeness and accuracy of the information provided. Tokocrypto will then confirm the information to the OTC Client via the communication channel determined by Tokocrypto, which may be changed from time to time based on Tokocrypto’s internal policies.
The communication channel (“OTC Communication Channel”) used for OTC transactions between the OTC Client and Tokocrypto may be a Telegram group or any other medium determined by Tokocrypto in accordance with its internal policies.
Tokocrypto cooperates with third-party partners for the provision of liquidity for each OTC transaction received by Tokocrypto.
For each Order Form submitted by an OTC Client, the Client will receive an Order Confirmation to be confirmed by the Client via the OTC Communication Channel, after which it will be processed by Tokocrypto. For the avoidance of doubt, by accepting an Order Confirmation, the OTC Client is deemed to have agreed to the price offered by Tokocrypto for that Order Form.
After providing confirmation of the Order Confirmation via the OTC Communication Channel, the OTC Client must make a Deposit of Funds in the amount specified in the Order Confirmation to their Tokocrypto Account within a maximum of 15 minutes from the time such confirmation is given in writing in the OTC Communication Channel.
The process of delivering the ordered Crypto Assets to the OTC Client will be carried out within a maximum of 60 minutes from the time the OTC Client confirms the OTC Transaction Order Confirmation, and the OTC transaction will be deemed successful once the OTC Client has received the Crypto Assets in their Tokocrypto Account. Tokocrypto will also notify the successful completion of the transaction via the OTC Communication Channel.
The Customer agrees not to use Tokocrypto OTC services or products to commit any criminal acts, including but not limited to money laundering, gambling, the purchase of illegal goods, terrorist activities, or hacking. Any Customer who violates this provision may have their access terminated and shall be liable for any losses suffered by Tokocrypto or other Customers arising during the use of Tokocrypto OTC services. Tokocrypto reserves the right to close a Tokocrypto Account and freeze Funds, Crypto Assets, and transactions therein, including Tokocrypto OTC usage, if suspicious activity is detected in that Tokocrypto Account, for an indefinite period.
We may charge fees for processing Tokocrypto OTC transactions on your behalf, including taxes and other fees imposed in accordance with our policies and applicable laws and regulations governing fees on Crypto Asset buy/sell transactions via Tokocrypto OTC.
SUSPENSION, TERMINATION, AND CANCELLATION
Provisions regarding the suspension, termination, and cancellation of your Tokocrypto OTC transactions and Wallet are governed by the same terms set out in the Tokocrypto Customer Agreement and other related provisions. For the avoidance of doubt, termination of these Terms and Conditions does not limit either party’s right to seek compensation from the other party for any breach of these Terms and Conditions, in accordance with these Terms and Conditions and/or applicable laws and regulations.
We may suspend or cancel any Tokocrypto OTC transaction you conduct if, in our reasonable judgment, you have breached these Terms and Conditions.
We may also refuse to process a Tokocrypto OTC transaction that you have agreed to if the Crypto Assets instructed to be deposited are not successfully deposited within a maximum of 15 minutes. We may suspend, restrict, or terminate your access to any or all Services and/or deactivate or cancel your Tokocrypto Account, without cause, by providing you with 1 (one) month’s prior notice before the effective date of closure or cancellation. You acknowledge that our decision to take certain actions, including limiting access, suspending, or closing your Tokocrypto Account, may be based on confidential criteria that are important to our risk management and security protocols. You agree that we are under no obligation to disclose details of such risk management and security procedures to you.
REPRESENTATIONS AND WARRANTIES
All services on the Tokocrypto Site, including Tokocrypto OTC services, are provided without any warranty or guarantee of any kind. Tokocrypto does not warrant that the Tokocrypto Site will always be accessible at all times due to potential disruptions or periodic system and network maintenance.
The Customer represents and warrants that they will use Tokocrypto OTC services properly and responsibly and will not engage in any actions that are contrary to the laws and regulations of the Republic of Indonesia.
The Customer represents and warrants that they will not use Tokocrypto OTC services in connection with:
(i) narcotics, chemical substances and/or research chemicals;
(ii) money laundering and any activities similar to monetary instruments, including derivatives;
(iii) goods and/or services that infringe Intellectual Property Rights;
(iv) ammunition, firearms, explosives, sharp weapons as regulated by applicable law;
(v) goods and/or services that disclose the personal information of third parties in violation of law;
(vi) goods and/or services related to lottery purchases or lay-away schemes;
(vii) banking services located outside the territory of the Republic of Indonesia;
(viii) card payment services;
(ix) credit settlement services; and/or
(x) support for organizations that are prohibited or banned by the government.
The Customer further represents and warrants that they will not use Tokocrypto OTC services in connection with:
(i) narcotics, chemical substances and/or research chemicals;
(ii) money laundering; and any activities involving gambling practices and/or other activities that charge entry fees and offer prizes, including but not limited to casino games, sports betting, businesses facilitating gambling, and sweepstakes.
The Customer represents and warrants that all data, information, and documents provided to Tokocrypto are true, valid, honest, transparent, complete, and accurate. The Customer agrees that they may be subject to criminal prosecution and/or civil lawsuits if Tokocrypto discovers or receives information from any party that the data, information, and documents provided are false, not entirely true, and/or forged.
Tokocrypto has provided sufficient explanations and information regarding Tokocrypto OTC services to be used by the Customer in accordance with these Terms and Conditions, and the Customer acknowledges that they understand and accept all consequences that may arise from using Tokocrypto OTC services, including all benefits, risks, and costs associated with Tokocrypto OTC.
The Customer represents and warrants that all transactions carried out through Tokocrypto OTC services do not violate any applicable laws and regulations or the transactional provisions set out in these Terms and Conditions. If Tokocrypto finds indications that Tokocrypto OTC services are being used in a manner inconsistent with applicable laws and/or the transactional provisions stipulated in these Terms and Conditions, Tokocrypto shall have the full right to close the Customer’s Tokocrypto Account by disabling the services provided by Tokocrypto, including Tokocrypto OTC, and the Customer hereby agrees that Tokocrypto will not provide any compensation or assume any liability in any form to the Customer or any party for any claims or demands arising in connection with such deactivation of Tokocrypto OTC services.
The Customer represents and warrants that all risks arising from the use of third-party services, products, and promotions by the Customer (if any) shall be borne solely by the Customer, and the Customer acknowledges that Tokocrypto is not responsible for such third-party services or their performance.
LIABILITY
The Customer agrees to bear all risks, losses, or consequences suffered by the Customer arising from, among others:
damage, delay, loss, or errors in the transmission of instructions and communications electronically caused by the Customer;
Tokocrypto Account reports or notifications related to the use of Tokocrypto OTC services that are received, read, or misused by unauthorized parties in relation to the Customer’s Tokocrypto Account;
the Tokocrypto Account password becoming known to another person/party as a result of the Customer’s fault or negligence.
The Customer understands and agrees that the Customer will use their Tokocrypto Account and Tokocrypto OTC services only for transactions that do not violate applicable laws and regulations and/or Tokocrypto’s internal policies and/or other national or international regulations related to the execution of such transactions, whether directly or indirectly. Tokocrypto shall not provide any compensation and/or assume any liability in any form to the Customer or any other party for any claims, demands, and/or losses arising in connection with the Customer’s use of the Services for transactions categorized as suspicious and/or prohibited under applicable laws and regulations and/or Tokocrypto’s internal policies and/or any other applicable national or international regulations.
In conducting transactions using the Tokocrypto Site, the Customer understands and agrees that certain sanctions may be imposed by governments, including foreign governments, and/or other competent authorities on certain countries, entities, and individuals. With reference to this, Tokocrypto reserves the right not to carry out/process any transaction that would constitute a breach of such sanctions, and the relevant authorities may require disclosure of related information. Tokocrypto shall not be liable if Tokocrypto or any other party fails or delays in executing a transaction, or discloses information, as a result of direct or indirect violation of such sanction provisions.
RISK
Trading Crypto Assets is a high-risk activity. Crypto Asset prices are highly volatile and may change significantly from time to time. In connection with such price fluctuations, the value of Crypto Assets may increase or decrease substantially at any time. All Crypto Assets may experience drastic changes in value or even become worthless. There is a high risk of loss arising from locking or holding your Crypto Assets for a certain period, during which you may miss price movements on each of your Locked Assets.
Crypto Asset trading and/or the use of Tokocrypto OTC services also involves additional risks that may not be present in other assets or commodities in the market. Crypto Assets are unique assets created based on technology and consensus.
Customers are advised to carefully assess their financial situation and ensure that they are willing and able to bear the risks associated with using Tokocrypto OTC services. Customers are strongly encouraged to conduct their own research before deciding to lock or store their Crypto Assets. All decisions to use Tokocrypto OTC services are independent decisions made consciously by the Customer, without coercion, and the Customer releases Tokocrypto from all risks that may arise in the future.
Tokocrypto OTC is a service/system owned, operated, and managed by Tokocrypto; however, the service is also supported by independent third parties to ensure proper service performance and to enable Tokocrypto to provide OTC services to OTC Clients, including third parties providing liquidity to Tokocrypto. In this regard, you acknowledge the risks associated with the failure of such third parties to properly provide their support, which may adversely affect the Tokocrypto OTC service system.
In accordance with applicable regulations and supervision by the relevant authorities, We may modify, suspend, or discontinue Tokocrypto OTC services. You are solely responsible for determining whether the use of Tokocrypto OTC services is lawful in the jurisdiction in which you are located. You are prohibited from using Tokocrypto OTC services if such use is deemed illegal in your jurisdiction. You are advised to seek independent legal advice if you are uncertain.
PROHIBITIONS
Without limiting any other prohibitions contained in these Terms and Conditions, the Customer is prohibited from engaging in the following:
The Customer must not engage in any actions that may cause loss to Tokocrypto and/or that conflict with these Terms and Conditions and applicable laws and regulations.
If the Customer breaches any of the provisions herein, the Customer shall be fully responsible and hereby agrees that, as a result of such breach, Tokocrypto has the right to restrict the Customer’s use of Tokocrypto services up to and including closing the Customer’s Tokocrypto Account. The Customer understands and agrees that Tokocrypto will not provide any compensation or assume any liability in any form to the Customer or any party for any risks or consequences arising from such service restrictions and account closure.
The Customer is further obligated to compensate Tokocrypto for any losses incurred as a result of such breach. The Customer hereby authorizes Tokocrypto to debit the Customer’s Account to pay such compensation. If the Funds in the Customer’s Account are unavailable or insufficient, the Customer must reimburse the entire amount via interbank transfer to Tokocrypto within no later than 7 (seven) business days from the date Tokocrypto submits such claim.
INTELLECTUAL PROPERTY RIGHTS
The Customer acknowledges and agrees that Tokocrypto is the owner of all proprietary rights to the services, software, technological tools, content, site, and other materials, including all Intellectual Property Rights associated with Tokocrypto’s facilities.
The Customer is only permitted to view, print, and/or download copies of materials from the Tokocrypto Site for personal and non-commercial use. Any commercial use requires prior consent from Tokocrypto. Any commercial activity conducted without Tokocrypto’s consent will be considered a violation of Tokocrypto’s Intellectual Property Rights and may result in the termination of the Customer’s Tokocrypto Account.
All information provided by Tokocrypto OTC shall become and remain the property of Tokocrypto.
TAXES
Taxes arising from the use of Tokocrypto OTC services will be borne by Tokocrypto. In this regard, Tokocrypto assumes the tax obligations arising from OTC transactions between the Customer and Tokocrypto, insofar as not otherwise regulated in these Terms and Conditions and in accordance with applicable tax laws and regulations in Indonesia.
SECURITY
Tokocrypto has implemented network and security measures as safeguards to protect information from unauthorized access, use, alteration, and/or disclosure of Accounts, in accordance with security standards required by applicable laws and regulations. If unauthorized access, use, alteration, and/or disclosure of an Account by a third party occurs due to the Customer’s negligence and/or fault, then all related risks shall be borne by the Customer. Tokocrypto will not provide any compensation or assume liability in any form to the Customer or any other party for any risks, responsibilities, or claims that may arise in connection with such negligence/intentional act/error by the Customer in providing information.
FORCE MAJEURE
“Force Majeure” refers to events beyond the control and capability of Tokocrypto that affect the performance of transactions, including but not limited to:
earthquakes, hurricanes, floods, landslides, volcanic eruptions, and other natural disasters;
war, demonstrations, riots, terrorism, sabotage, embargoes, and mass strikes;
economic policies issued by the Government that have a direct impact.
Provided that Tokocrypto has fulfilled its obligations in accordance with applicable laws and regulations in connection with the occurrence of a Force Majeure event, Tokocrypto shall not provide any compensation or assume liability in any form to the Customer or any other party for any risks, responsibilities, or claims that may arise due to delays or failure to perform its obligations as a result of Force Majeure.
LIMITATION OF LIABILITY
Tokocrypto always strives to maintain Services that are safe, convenient, and functioning properly; however, we cannot guarantee continuous operation or that access to our Services will always be perfect. Information and data on the Tokocrypto Site may not always be available in real time.
Notwithstanding any provision in these Terms and Conditions, under no circumstances shall any party be liable to the other party for any incidental, special, indirect, or consequential damages, including but not limited to loss of income, loss of profit, cost of substitute goods, technological damage, loss of data, or interruption and loss of use of services or equipment, even if such party has been advised of the possibility of such damages, whether arising from contract, tort, strict liability, or otherwise.
The Customer agrees that the Customer uses Tokocrypto OTC services at their own risk and that Tokocrypto’s Services are provided to the Customer on an “AS IS” and “AS AVAILABLE” basis.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and Conditions are governed by the laws of the Republic of Indonesia.
Any dispute, conflict, or difference of opinion (“Dispute”) shall, to the extent possible, be resolved amicably through deliberation to reach consensus.
Any Dispute that cannot be resolved amicably shall be settled through the Alternative Dispute Resolution Institution for the Financial Services Sector (LAPS SJK).
MISCELLANEOUS
Severability. The invalidity of any part or all of any provision in these Terms and Conditions shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
For matters not specifically regulated in these Terms and Conditions, the provisions of the Indonesian Civil Code and other relevant laws and regulations shall apply.
If Tokocrypto makes any changes to these Terms and Conditions, Tokocrypto will notify the Customer of such changes in accordance with applicable laws and regulations through any notification media deemed appropriate by Tokocrypto, and thereafter the Customer shall be bound by such amended Terms and Conditions.
If the Customer undertakes actions outside the provisions of these Terms and Conditions, the Customer shall be fully responsible and hereby agrees that Tokocrypto will not provide any compensation or assume any liability in any form to the Customer or any party for any claim, lawsuit, or demand brought by any other party in connection with such actions.
The Customer must comply with all requirements set out in these Terms and Conditions. Any failure by the Customer to comply with or perform any part of these Terms and Conditions on one or more occasions shall not waive the Customer’s obligation to comply with all provisions of these Terms and Conditions.
