bStocks are tokenized securities products from Binance, issued by BTECH Holdings Ltd, an affiliate of the Binance group. Each bStock token represents beneficial exposure to the underlying U.S. stock on a 1:1 basis. The underlying stock is held in custody by a regulated custodian, while the token itself is issued as a BEP-20 asset on BNB Smart Chain.
bStocks enable users to trade fractional exposure to traditional stocks using crypto infrastructure, with the convenience of 24/7 trading and self-custody compatibility. For eligible users, bStocks can be converted 1:1 into the underlying stock without conversion fees.
How Does NVDAB Work?
NVDAB is the bStocks token for NVIDIA Corporation stock. Here’s how it works:
- Underlying asset: NVIDIA Corporation stock (NASDAQ: NVDA)
- Token standard: BEP-20 on BNB Smart Chain
- Issuer: BTECH Holdings Ltd
- Trading pair: NVDAB/USDT on Binance Spot
- Custody: The underlying stock is held by a regulated custodian
When you buy NVDAB, you are buying a tokenized claim that provides economic exposure to movements in NVIDIA’s stock price. The token does not represent direct ownership of NVIDIA stock, but rather a beneficial interest backed by the underlying stock held in custody.
The Multiplier Mechanism
One of the key features of bStocks is the Multiplier mechanism. This is an on-chain adjustment factor that automatically reflects corporate actions—such as dividends and stock splits—in your token balance without requiring any manual action.
How dividends work:
- When NVIDIA pays a dividend, the gross dividend is first subject to the applicable U.S. withholding tax (currently 30%)
- The net dividend amount is automatically reinvested in the underlying stock
- Your NVDAB balance increases proportionally through the Multiplier adjustment
- No cash is distributed to your account—the benefit is reflected through a higher token balance
- Net dividends are generally credited earlier than the traditional payment date
- The adjustment applies to every fractional token you hold
How stock splits work:
- In a stock split, the Multiplier adjusts the number of your tokens according to the split ratio
- For example, in a 2-for-1 split, the number of your tokens doubles and the price per token is halved
- The overall value of your position remains the same
Note: NVIDIA has a history of conducting stock splits several times. In June 2024, NVIDIA conducted a 10-for-1 split. With NVDAB, every NVIDIA split will be automatically adjusted through the Multiplier without you needing to do anything.
Why Does U.S. Withholding Tax Apply?
Although Binance does not operate in the United States, U.S. withholding tax on dividends still applies because the underlying stock is U.S. equity. Dividends paid by U.S. companies to non-U.S. holders are subject to withholding tax at the source—meaning the tax is deducted before the dividend amount reaches the token issuer or end user.
In the bStocks structure, the token is held through an intermediary entity rather than in your individual name, so treaty benefits that could lower the rate generally do not apply. As a result, the full 30% withholding rate is applied uniformly to all bStocks holders, regardless of their country of residence.
