What Is Strategy (Formerly MicroStrategy)?
Strategy Inc. — known as MicroStrategy Incorporated until February 2025 — is a company that initially operated in the business intelligence (BI) software sector but is now better known as the world’s largest corporate Bitcoin holder.
The company was founded in 1989 by Michael Saylor, Sanju Bansal, and Thomas Spahr in Delaware. In 1998, MicroStrategy went public on Nasdaq under the ticker symbol MSTR. For more than two decades, the company focused on developing data analytics and decision-support software for enterprises.
A Brief History of Strategy (MicroStrategy)
- 1989: Founded as MicroStrategy by Michael Saylor, Sanju Bansal, and Thomas Spahr
- 1991: Released its first business intelligence product
- 1998: IPO on Nasdaq (MSTR)
- August 2020: Began its Bitcoin treasury strategy — first purchase of approximately $250 million
- 2022: Michael Saylor stepped down as CEO and became Executive Chairman. Phong Le became CEO
- February 2025: Rebranded from MicroStrategy to Strategy
- 2026: Holds more than 845,000 BTC — approximately 4% of the total Bitcoin supply that will ever exist
Why Is Strategy So Unique in the Crypto World?
Strategy is not a traditional crypto company — it is a public software company that decided to turn Bitcoin into its primary treasury asset. Michael Saylor’s decision in August 2020 to purchase Bitcoin as a cash reserve changed the company’s trajectory and made it one of the most talked-about stocks in the market.
Key facts include:
- Largest corporate Bitcoin holder: Strategy holds more than 845,000 BTC as of September 2026
- 4% of the total Bitcoin supply: Of the 21 million BTC that will ever exist, Strategy holds approximately 4%
- Bitcoin treasury strategy: The company actively and consistently increases its Bitcoin position using funds from operations, debt issuance, and stock sales
- Stock as a Bitcoin proxy: Many investors buy MSTR stock as a way to gain indirect exposure to Bitcoin through traditional stock markets
Because of this unique position, Strategy shares (MSTR) often move in correlation with the price of Bitcoin, but with potentially higher volatility — rising faster when Bitcoin rises, but also falling more sharply when Bitcoin corrects.
What Are bStocks?
bStocks are tokenized securities products from Binance, issued by BTECH Holdings Ltd, an affiliate of the Binance group. Each bStock token represents beneficial exposure to its underlying U.S. stock on a 1:1 basis. The original shares are held in custody by a regulated custodian, while the tokens themselves are issued as BEP-20 assets on BNB Smart Chain.
bStocks allow users to trade fractional exposure to traditional stocks using crypto infrastructure, with the convenience of 24/7 trading and self-custody compatibility. For eligible users, bStocks can be converted 1:1 into the underlying shares without conversion fees.
How Does MSTRB Work?
MSTRB is the bStocks token for Strategy Inc. shares. Here’s how it works:
- Underlying asset: Strategy Inc. shares (NASDAQ: MSTR)
- Token standard: BEP-20 on BNB Smart Chain
- Issuer: BTECH Holdings Ltd
- Trading pair: MSTRB/USDT on Binance Spot
- Custody: The underlying shares are held by a regulated custodian
When you buy MSTRB, you are purchasing a tokenized claim that provides economic exposure to movements in the price of Strategy shares. The token does not represent direct ownership of Strategy shares, but rather a beneficial interest backed by the underlying shares held in custody.
Multiplier Mechanism
One of the key features of bStocks is the Multiplier mechanism. This is an on-chain adjustment factor that automatically reflects corporate actions — such as dividends and stock splits — in your token balance without requiring any manual action.
How dividends work:
- When Strategy pays a dividend, the gross dividend is first subject to the applicable U.S. withholding tax (currently 30%)
- The net dividend amount is automatically reinvested in the underlying shares
- Your MSTRB balance increases proportionally through a Multiplier adjustment
- No cash is distributed to your account — the benefit is reflected through a higher token balance
- Net dividends are generally credited earlier than the traditional payment date
- The adjustment applies to every fractional token you hold
How stock splits work:
- In a stock split, the Multiplier adjusts the number of your tokens according to the split ratio
- For example, in a 2-for-1 split, the number of your tokens doubles and the price per token is cut in half
- The overall value of your position remains the same
Why Does U.S. Withholding Tax Apply?
Although Binance does not operate in the United States, U.S. withholding tax on dividends still applies because the underlying shares are U.S. equities. Dividends paid by U.S. companies to non-U.S. holders are subject to withholding at the source — meaning the tax is deducted before the dividend amount reaches the token issuer or end user.
Under the bStocks structure, the tokens are held through an intermediary entity rather than individually in your name, so treaty benefits that could reduce the rate generally do not apply. As a result, the full 30% withholding rate is applied uniformly to all bStocks holders, regardless of their country of residence.
MSTRB vs. Direct Stock Ownership
| Feature | MSTRB (bStocks) | Direct Stock (MSTR) |
|---|---|---|
| Ownership | Tokenized beneficial interest | Direct equity ownership |
| Trading hours | 24/7 on Binance | NASDAQ market hours only |
| Fractional ownership | Yes, by design | Depends on the broker |
| Dividends | Automatically reinvested via Multiplier (after 30% U.S. tax) | Cash or DRIP, depending on the broker |
| Conversion | Can be converted 1:1 for eligible users | N/A |
| Custody | Shares are held by a regulated custodian | Broker or direct registration |
| Transferability | BEP-20 token, compatible with self-custody | Transfer through a broker |
| Voting rights | Generally not included | Yes, for common shareholders |
Important Considerations
- Not direct stock ownership: MSTRB provides economic exposure, not direct equity in Strategy Inc.
- Correlation with Bitcoin: Strategy shares tend to move with the price of Bitcoin, but with higher volatility
- Regulatory risk: Tokenized securities are subject to evolving regulations in different jurisdictions
- Eligibility restrictions: bStocks are not available to users in all regions, including the United States
- Liquidity: Trading volume may differ from that of the underlying shares on NASDAQ
- Dividend tax: A 30% U.S. withholding tax applies before reinvestment
- Volatility: MSTR is known as one of the most volatile stocks in the market — price movements can be significant within a short period
Strategy’s Role in the Bitcoin and Crypto Ecosystem
Strategy Inc. plays a truly unique role in the cryptocurrency ecosystem. As a public company with the world’s largest Bitcoin holdings, Strategy has become a bridge between traditional finance and the Bitcoin ecosystem. Michael Saylor’s decision to transform MicroStrategy into a Bitcoin treasury company has inspired dozens of other companies to follow a similar strategy.
With MSTRB, crypto users can gain exposure to the performance of Strategy shares — which also indirectly provides exposure to Bitcoin price movements — directly from their crypto wallets. This creates a unique way to gain dual exposure: exposure to a stock and indirect exposure to Bitcoin, all through blockchain infrastructure.
